Premium Subscription Agreement

1. Parties

This Premium Subscription Agreement ("Agreement") is entered into between CYBERR SA, a Luxembourg public limited company (société anonyme) registered in the Grand Duchy of Luxembourg under number B222843, with its registered office at 16 Rue Beck, L-1222 Luxembourg ("Cyberr", "we", "us"), and you, the subscriber ("Subscriber", "you").

2. Scope of Premium Subscription

By subscribing to Cyberr Premium, you gain access to enhanced features including, but not limited to:

• Open messaging - contact any member on the platform
• Mentoring access - book and participate in mentoring sessions
• Enhanced profile - premium badge, advanced analytics, and priority visibility
• Partner discounts - exclusive discounts on cybersecurity training and certifications
• Priority support - faster response times from the Cyberr support team

Cyberr reserves the right to add, modify, or remove specific Premium features at any time. Material changes to core features will be communicated with at least 30 days' notice.

3. Subscription Fee & Billing

The Premium subscription is billed at €4.00 per month (inclusive of applicable VAT where required). Your subscription will automatically renew each month on the anniversary of your initial subscription date unless cancelled prior to the renewal date. Cyberr reserves the right to adjust the subscription price with at least 30 days' prior written notice. Continued use after such notice constitutes acceptance of the new price.

4. Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy. You are solely responsible for providing and maintaining a valid payment method. Cyberr does not store your full payment card details.

5. Cancellation & Refunds

You may cancel your Premium subscription at any time through the Customer Portal accessible in your account settings. Upon cancellation:

• Your Premium access will remain active until the end of the current billing period
• No pro-rata refunds will be issued for the remaining days in the billing cycle
• Your account will revert to a free account at the end of the billing period

Cyberr may offer refunds at its sole discretion in exceptional circumstances. Any refund requests should be directed to support@cyberr.ai.

6. Promotional Offers

Cyberr may offer promotional pricing, discounts, or partner-specific perks at its discretion. Eligibility, duration, and terms of any promotion are communicated at the time of the offer and may be limited to one per user.

7. Acceptable Use

Premium features are for your personal, professional use only. You may not share, resell, or transfer your Premium subscription. Abuse of Premium features (including but not limited to automated messaging, spam, or circumvention of platform limits) may result in suspension or termination of your subscription without refund.

8. Service Availability

Cyberr will use commercially reasonable efforts to maintain the availability of Premium features. However, we do not guarantee uninterrupted access and shall not be liable for temporary outages, maintenance windows, or service disruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by Luxembourg law, Cyberr's total liability under this Agreement shall not exceed the aggregate amount paid by you for the Premium subscription in the twelve (12) months preceding the claim. In no event shall Cyberr be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Warranty Disclaimer

The Premium subscription and all associated features are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Modifications to this Agreement

Cyberr may update this Agreement with at least 30 days' advance notice via email or in-platform notification. Your continued use of the Premium subscription after the effective date of any changes constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you may cancel your subscription before the changes take effect.

12. Incorporation by Reference

This Agreement is supplementary to and incorporates by reference Cyberr's general User Agreement and Privacy Policy. In the event of a conflict between this Agreement and the general User Agreement, this Agreement shall prevail with respect to the Premium subscription.

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict of laws provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.
